APPENDIX 1: Airwallex Connected Account Terms

These Capata Connected Account Terms (the "Connected Account Terms") apply where a Client opts to make or receive payments via Airwallex's Connected Account services (defined below) on the Platform. By using such services, the Client agrees to these Connected Account Terms and the Connected Account Agreement between the Client and Airwallex. You may contact Airwallex for further details.
Capitalised terms not defined herein will have the meaning given to them under the Capata Terms of Use.
Capata provides the services described in the Terms on the Platform ("Services"), which include customer due diligence and onboarding, electronic execution of agreements, submission of invoices and supporting documents, data analysis and transmission to Funders and enabling Clients to access third-party payment services for payment between Clients and Funders via third-party service providers, in this case, Airwallex ("Connected Account Services").
Capata's Services do not include the Connected Account Services or any regulated payment services. Any complaints or disputes in respect of the Connected Account Services we receive will be forwarded to Airwallex for their handling.
Where applicable, Platform Fees are charged according to our Charges Terms which provides further details on the fee amounts and payment methods.
Any regulated payment services available through the Connected Account Services are provided by Airwallex and/or its regional banking or financial partners including Airwallex (Singapore) Pte. Ltd. — Major Payment Institution Licence No. PS20200541.
Capata does not provide regulated payment services.
You may terminate these Connected Account Terms by notifying us that you do not wish to continue to use the Connected Account Services made available by Airwallex on the Platform.
Upon termination of the Terms, these Connected Account Terms or the Connected Account Agreement between you and Airwallex, you will no longer be able to use the Connected Account Services.
Where applicable, Airwallex will continue to deduct applicable Platform Fees from your Airwallex account that were due up until the date of termination of these Connected Account Terms, including any fees that become due and payable after termination but which relate to the use of any of the Services or Connected Account Services prior to termination.
Where Platform Fees are applicable to your use of the Platform:
No deduction will occur while Platform Fees = SGD 0.
You authorise Capata to provide information and documents to Airwallex on your behalf in response to Airwallex's requests for information, including KYC/AML information (for Airwallex's own compliance purposes), onboarding data, transaction data and other data necessary for Airwallex to provide the Connected Account service.
You acknowledge and expressly permit Capata to access, use, display and transfer personal data of you, your Authorised Users, payees/payers and other individuals as necessary to (i) operate the Platform and provide the Services, (ii) integrate with and enable the Connected Account Services, and (iii) respond to Airwallex requests.
Details are set out in Capata's Privacy Policy, which applies to the processing described above.
Platform Fees (if applicable) relate solely to Platform Services provided by Capata. Airwallex fees are separate and payable directly to Airwallex.
